Welcome to the website of the North American Psychoanalytic Confederation ("NAPsaC," "we," "us," or "our"). By accessing, browsing, or using this website, including any member portals, directories, or discussion forums managed through our third-party platform Wild Apricot (collectively, the "Website"), you agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree to these terms, please do not use this Website.

2. Intellectual Property Rights

Unless otherwise stated, all content on this Website—including text, graphics, logos, icons, research articles, and organizational materials—is the property of NAPsaC or its content suppliers and is protected by United States, Canadian, and international copyright and trademark laws.

• Permitted Use: You may view, download, and print materials from the public sections of the Website for personal, non-commercial, and educational use only.

• Prohibited Use: You may not modify, reproduce, distribute, or publicly display any website content for commercial purposes without explicit, prior written consent from NAPsaC.

3. Member Accounts, Security, and Profiles

To access certain features of the Website, including member directories and secure registration portals, you may be required to establish a user account via Wild Apricot.

• Account Confidentiality: You are entirely responsible for maintaining the confidentiality of your account credentials (username and password) and for any and all activities that occur under your account.

• Unauthorized Use: You agree to notify NAPsaC immediately of any unauthorized use of your account or any other breach of security.

• Accuracy of Information: You agree to provide accurate, current, and complete information when creating an account and to promptly update your profile to maintain its accuracy.

4. User-Generated Content & Code of Conduct

If you post comments, participate in discussion forums, upload media, or submit listings to our events calendars or directories, you grant NAPsaC a non-exclusive, royalty-free, perpetual license to display that content on the Website.

Strict Prohibitions on Sensitive Data & Privacy: Given the professional nature of our confederation, users must exercise the highest standards of discretion. You strictly agree NOT to post or transmit any content that:

• Violates Patient Confidentiality: You must not post clinical data, case studies, or patient information that violates HIPAA, PIPEDA (Canada), or any professional ethical standards regarding patient anonymity and confidentiality.

• Infringes Rights: Infringes upon the copyrights, trademarks, or privacy rights of any third party.

• Is Harmful or Defamatory: Is unlawful, defamatory, abusive, harassing, libelous, or racially/ethnically offensive.

• Contains Malicious Code: Introduces viruses, corrupted data, or other harmful, disruptive, or destructive files.

• Constitutes Spam: Contains unauthorized advertising, promotional materials, or solicitations for other businesses.

NAPsaC does not pre-screen all user-generated content, but we reserve the absolute right to monitor, edit, or delete any content that violates these Terms of Use or is otherwise deemed inappropriate, at our sole discretion.

5. Member Directory Restrictions

The NAPsaC member directory is provided solely for professional networking, institutional collaboration, and verified public verification purposes.

• No Scraping or Harvesting: The harvesting, scraping, or systematic downloading of contact information from our directories for the purpose of constructing mass marketing lists, spamming, or unauthorized solicitations is strictly prohibited.

6. Termination of Access

NAPsaC reserves the right, without notice and in its sole discretion, to terminate your license to use the Website, and to block or prevent your future access to the Website if you violate any portion of these Terms of Use or engage in conduct detrimental to the organization or its members.

7. Indemnification

You agree to defend, indemnify, and hold harmless NAPsaC, its board of directors, officers, employees, component societies, and agents from and against any claims, damages, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Website, your violation of these Terms of Use, or your violation of any rights of another user or third party.

8. Governing Law & Jurisdiction

These Terms of Use and any disputes arising out of or related to your use of the Website shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law principles. You agree that any legal action or proceeding related to this Website shall be brought exclusively in a federal or state court of competent jurisdiction sitting in Colorado.

9. Severability

If any provision of these Terms of Use is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of any remaining provisions.
